In this Terms & Conditions, references to “X-RETE”, “we” or “us” are to XRETE FOR COMPUTER SYSTEMS AND COMMUNICATION EQUIPMENT SOFTWARE DESIGN Co. LLC. The company established in Dubai, UAE (Registeration number: 1113807) whose registered office is at: Ontario Tower, Ontario Bay, Dubai, UAE.

These Terms and Conditions (“Terms”) govern your use of the X-RETE mobile applications and websites (collectively referred to as the “Platform”) provided by X-RETE. By accessing or using the Platform, you agree to comply with these Terms. If you do not agree with these Terms, please refrain from using the Platform.

1. Use of the Platform:

1.1. Eligibility: You must be at least 16 years old to use the Platform. By using the Platform, you represent and warrant that you are 16 years of age or older.
1.2. License: Subject to these Terms, X-RETE grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your personal or business purposes.

2. User Conduct:

2.1. Acceptable Use: You agree to use the Platform in a lawful and responsible manner. You shall not engage in any activity that may infringe upon the rights of others, violate any applicable laws, or interfere with the operation of the Platform.
2.2. Prohibited Actions: You shall not engage in any of the following activities:
a) Attempt to gain unauthorized access to the Platform or its systems.
b) Use the Platform to distribute spam, viruses, or any other malicious software.
c) Collect or harvest any information from other users without their consent.
d) Impersonate any person or entity or falsely represent your affiliation with any person or entity.
e) Engage in any activity that could damage, disable, overburden, or impair the Platform’s functionality.

3. Intellectual Property:

3.1. Ownership: The Platform, including all its content and intellectual property rights, belongs to X-RETE. The content includes but is not limited to text, graphics, logos, trademarks, images, videos, and software.
3.2. Limited License: X-RETE grants you a limited, non-exclusive, non-transferable license to access and use the content solely for your personal or business purposes. You may not modify, reproduce, distribute, or create derivative works based on the Platform’s content without prior written consent from X-RETE.

4. Third-Party Links:

The Platform may contain links to third-party websites or services that are not owned or controlled by X-RETE. X-RETE has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that X-RETE shall not be liable for any loss or damage incurred as a result of your use of any third-party websites or services.

5. Limitation of Liability:

To the maximum extent permitted by applicable law, X-RETE and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use or inability to use the Platform.

6. Indemnification:

You agree to indemnify, defend, and hold harmless X-RETE, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of the Platform or any violation of these Terms.

7. Modification of Terms:

X-RETE reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on the Platform. It is your responsibility to review the Terms periodically. By continuing to use

the Platform, you accept and agree to the modified Terms.

8. Governing Law and Jurisdiction:

These Terms shall be governed by and construed in accordance with the laws of United Arab Emirates, state of Dubai. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Dubai, United Arab Emirates.

9. Severability:

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

10. Entire Agreement:

These Terms constitute the entire agreement between you and X-RETE regarding your use of the Platform, superseding any prior agreements or understandings.
